In late 2005 the IRS issued their first proposed regulations regarding taxation of deferred income, IRC 409A. Part of these regulations dealt with options issued as compensation to employees and consultants. 409A started a new chapter in the valuation industry. The valuation of early-stage, private companies and their common shares has become an ever increasing part of our industry.
In the last few years the demand for valuation of intangible assets and derivative instruments have continued to grow as the accounting profession has moved towards fair value reporting. The valuation of pass-through entities, so called discount appraisals, is a special niche of valuation. A niche where the valuation expert needs broad experience, solid understanding of the agreements that control the rights and restrictions of the partners or members, a working knowledge of the IRS filing and audit process as well as familiarity with the US Tax Court.
